Terms of Service

1. Who we are
These terms govern the website conversion services sold at 24design.eu by BELNEM s.r.o., Beckovská 5, 821 04 Bratislava, Slovakia, Company ID (IČO) 53713486 (“we”). We are not registered for VAT. You can reach us at [email protected].
2. Business customers only
Our services are offered exclusively to businesses — agencies, studios and companies acting within their trade (“you”). By placing an order you confirm you are ordering as a business. Consumer-protection rules therefore do not apply to these terms.
3. The service
We convert a React project (Lovable, v0, Bolt) or a static HTML/CSS/JS site that you supply into a standalone WordPress block theme, delivered as a ZIP file ready to install. We work on our own staging and never need access to your servers. The optional WooCommerce module adds shop, cart, checkout and account templates with payments and shipping configured. Every conversion includes the Visual Edit Lite plugin and handover documentation.
Not included unless agreed separately: new design work, content writing, hosting, ongoing maintenance, and work based on Figma files.
4. Ordering and the free preview
Send us your project and we prepare a free preview of the first fold, normally within 24 hours on business days. The preview is free and non-binding for both sides. A contract is formed when we confirm your order — scope and price — by email.
5. Your inputs
You confirm that you hold all rights needed to the design and materials you supply, and that our converting them infringes no third-party rights. You will compensate us for any third-party claim arising from the materials you supplied. Delivery times run from the moment we have complete inputs.
6. Prices
The price is the one shown on 24design.eu at the time we confirm your order. Promo prices apply for as long as they are displayed on the site:
- Base theme, up to 3 pages/templates: €290 promo (€450 standard)
- Each additional page: +€45 promo (+€70 standard)
- WooCommerce module: +€490 promo (+€750 standard)
- Revision rounds beyond the first: €35/hour
Shop templates (product, category, cart, checkout, account) are part of the WooCommerce module and do not count towards the page total. Prices are final: we are not VAT-registered, so no VAT is added. For customers in other EU countries the supply may fall under the reverse-charge mechanism; you account for any tax in your own country.
7. Delivery and acceptance
We aim to deliver the complete theme within 72 hours (three business days) of receiving complete inputs. Delivery means handing over the ZIP file. You have 7 days to review the delivery and send one consolidated list of revisions; if we receive none, the delivery is deemed accepted.
8. Revisions
One consolidated revision round is included: fixes that bring the conversion in line with the design you supplied (spacing, markup, block behaviour). Further rounds are billed at €35/hour; new design work or changes to the supplied design are quoted separately.
Defects (bugs) in the delivered theme never count towards the revision round — we fix them free of charge as part of the price.
9. Payment
Unless agreed otherwise, we invoice on delivery. Invoices are payable within 14 days by bank transfer in EUR. We may pause further work for you while an invoice is overdue.
10. Intellectual property and the code licence
The design remains yours or your client’s — we claim no rights to it. The theme code we deliver is licensed under GPL-2.0-or-later (WordPress themes are derivative works of WordPress) and the source ships with it. The Visual Edit Lite plugin is GPL, has no licence key and never calls our servers. Visual Edit Pro is a separately licensed product with its own licence terms; during the launch promo the first 10 agencies receive a lifetime Pro licence with updates as part of their conversion.
The code licence and this agreement are two separate layers. Nothing in these terms narrows what the GPL itself permits you to do with the code. Section 11 is a contractual obligation about our services — it is not a condition added to the code licence.
11. One conversion, one project
The fee buys a conversion for one project — one end-client site:
- Your client runs the site as their own site. Covered — that is exactly what you bought.
- Your client lists the theme for sale on a marketplace. Not covered.
- You sell the conversion as a product — a marketplace listing, a theme shop, a bundled starter theme. Not covered.
You agree to pass this obligation on to your client. If you or your client want to sell the converted theme as a product, contact us first and we will agree an extended licence covering our conversion work (never your design). Selling without one is a breach of this agreement: we may invoice the extended-licence fee, end the launch-promo benefits, terminate the Pro licence and refuse further orders.
12. White label, NDA and non-solicitation
Deliverables carry no branding of ours in the code or the admin. We never contact your end clients. On request we will sign an NDA with a non-solicitation clause before you send us anything.
13. Liability
Our total liability for an order is capped at the price you paid for it. We are not liable for lost profit or indirect damage. This cap does not apply to damage caused intentionally. After handover, operating the site — including backups, updates and hosting — is your responsibility.
14. Governing law and changes
These terms are governed by Slovak law, in particular the Commercial Code. Disputes belong to the courts of the Slovak Republic. We may update these terms; an order is always governed by the version in force when we confirmed it.
